CFP Insurance Requirements

Ratings & Qualifications
- All insurers shall have at least an A- (excellent) rating by A.M. Best and be qualified to do business in all states where the CFP operates.
- The insurance policies described in Exhibit C of your Fulfillment Partner Agreement will provide a defense to and indemnify Cahoot, but only with respect to liability for bodily injury, property damage, and personal and advertising injury caused in whole or in part by the CFP’s acts or omission or the acts or omissions of those acting on behalf of Cahoot.
- To the extent that the CFP subcontracts with any other entity or individual to perform all or part of the CFP’s Services, the CFP shall require those subcontractors to furnish evidence of insurance coverage equivalent in all respects to the coverages described in Exhibit C of your Fulfillment Partner Agreement.
Additional Insureds
Cahoot and its officers, agents and employees shall be named as additional insureds for Ongoing Operations and Products/Completed Operations coverage on the CFP’s and any Subcontractor’s Commercial General Liability Policy, which must be primary and noncontributory with respect to the additional insured.
Insurance Purchased by Cahoot
Any insurance obtained by Cahoot is deemed excess, noncontributory and not co-primary in relation to the coverage(s) procured by the CFP, any Subcontractor, or any of their respective consultants, officers, agents, sub-subcontractors, employees, or anyone else directly employed by any of them, or by anyone for whose acts any of the aforementioned may be liable by operation of statute, governmental regulation, or applicable case law.
Waiver of Subrogation
To the fullest extent permitted by law, a Waiver of Subrogation Clause shall be added to all of the policies required by Exhibit C of your Fulfillment Partner Agreement in favor of Cahoot, and this Clause shall apply to Cahoot’s officers, agents, and employees with respect to the contract during the policy term.
- Prior to the CFP’s provision of Services under this Agreement, the CFP shall provide Cahoot with a Certificate of Insurance in favor of Cahoot and an Additional Insured Endorsement (in a form acceptable to Cahoot) as required in this Agreement.
- In no event shall the failure to provide this proof be deemed a waiver by Cahoot of any insurance coverage obligations set forth in Exhibit C of your Fulfillment Partner Agreement.
- Copies of all required insurance policies shall promptly be made available to Cahoot upon request.
- In no event shall the failure to provide this proof be deemed a waiver by Cahoot of any insurance coverage obligations set forth in Exhibit C of your Fulfillment Partner Agreement.
- The Certificate of Insurance shall provide for thirty (30) days’ notice to Cahoot for cancellation or change in coverage, except that the Certificate of Insurance shall provide for ten (10) days’ notice to Cahoot for cancellation for the CFP’s nonpayment of premium.
